Partner Program Terms

1. The program

The SocialBrainAI Partner Program, operated by Optsun Ltd (OPTSUN LTÉE), Mauritius, allows content creators (YouTubers and others) to recommend SocialBrainAI and earn a commission on the subscriptions of the customers they refer. Participation is by invitation or upon acceptance by SocialBrainAI. By participating, you accept these terms as well as the Terms of Sale and Use of the Service.

2. Promo code and customer attribution

• Each partner receives a promo code and a personal link.
• A customer is attributed to the partner whose code or link they used when signing up. A customer can only be attributed to one partner.
• The code gives the customer a discount on the subscription only (never on creations), for the announced duration. It can be combined with the multi-account discount but not with another offer.

3. Commission

• The commission is 10% of the subscription amount actually collected (excluding taxes, after discounts), on each payment by the attributed customer. The customer's creations and balance top-ups do not earn commission.
• It is paid for a maximum of 12 months per customer (12 monthly payments, or the equivalent for an annual payment).
• It stops if the customer ends their subscription.
• It is earned 30 days after the payment by the customer. If that payment is refunded through PayPal within 180 days, the corresponding commission is cancelled; if it has already been paid, it is deducted from subsequent commissions.

4. Payouts

• Earned commissions are paid on the 15th of the following month, once the amount due reaches €50. Below that, it is carried over to the next month.
• Payouts are made only via PayPal, to the PayPal account you provide. You are responsible for the accuracy of that address; any PayPal fees for receiving funds are your responsibility.
• Your partner dashboard shows your customers, your commissions, and amounts paid and upcoming.

5. Self-referral prohibited

You may not use your own code or link for yourself, your business, your own accounts or those of people acting on your behalf. Such subscriptions earn no commission. Any fraud (fake accounts, multiple accounts, shared payment methods) will result in the cancellation of the commissions concerned and exclusion from the program.

6. Promotion rules

• No misleading advertising: do not promise any results (followers, views, sales), do not present inaccurate prices or offers, and do not present yourself as SocialBrainAI.
• Clearly disclose to your audience that this is a paid partnership, as required by the platforms and the law of your country.
• Bidding on brand keywords is prohibited (“SocialBrainAI” or its variants and misspellings) on search engines or ad networks, as is creating accounts, domain names or pages that could be confused with ours.
• No spam, unsolicited messages, or posting your code on coupon sites without our consent.

7. Status and taxes

You act fully independently: this program creates no employment contract, no agency relationship and no joint venture. You are responsible for declaring your income from commissions and paying the taxes, duties and contributions due in your country. We may ask you for information needed for our own accounting obligations.

8. Suspension, termination and changes

• You may leave the program at any time. Commissions earned as of that date will still be paid in accordance with section 4.
• In the event of a breach of these terms, SocialBrainAI may suspend the code, cancel unpaid commissions related to the breach and terminate participation.
• We may change the program by giving you at least 30 days' notice. Commissions already earned are not affected.

9. Governing law and disputes

These terms are governed by the laws of the Republic of Mauritius. In the event of a dispute, please contact us first to seek an amicable solution. Failing that, the courts of Mauritius have exclusive jurisdiction, unless mandatory legal provisions provide otherwise.

10. Language

These terms are drawn up in French and in English, the languages in official use in Mauritius; both versions are equally authentic.
